Terms and Conditions

 

These terms replace any previously published and the placing of an order indicates acceptance of them. Terms for export orders may vary from these; variations will be notified with the confirmation of an order.

 

All prices are subject to VAT.

 

Orders are confirmed subject to crop.

 

Delivery conditions have changed; see below. We offer 5% discount for collection from Maplehurst.

 

At our discretion:

a)     we will add an administration charge of £5.00 to invoices of less than £30.00.

b)     all invoices for less than £100 (before VAT is added) are due for payment on delivery/collection.

c)     the foregoing will still apply if the delivery is one of several in the season.

 

We ask for payment on delivery/collection from all new customers for their first delivery, or against pro forma if we are despatching by carrier.

 

All other invoices are due for payment within 30 days of invoice date. We reserve the right to add deductible credit charges to invoices and charge interest at 1% per calendar month on overdue amounts. This is not an offer of extended credit. Discounts will be progressively forfeit on overdue invoices.

 

The following discounts are available, applied to all invoices except where summer discount has already been allowed and if payment is made in accordance with our credit terms.

 

a) 2.5% where the annual value of sales exceeds  £2,500,

b) 5.0% where the annual value of sales exceeds  £5,000.

 

The prices charged will be in accordance with price bands shown here, which are calculated relative to the price band for 20-59

 

 

Prices charged will be those ruling at the time of despatch, unless a firm price has been quoted. Because of differences in rounding (between computers) the catalogue price may differ very slightly from that which will be charged. Prices are normally reviewed annually at the beginning of the calendar year, with the issue of a new catalogue.

 

Complaints will be considered carefully if received promptly, preferably within three days, or as soon as a problem becomes apparent. Notification of short quantities after a prolonged period will not be considered.

 

Every effort is made to supply plants true to name and in a healthy state. In the event of any defect our liability will be limited to the invoice value of the affected plants.

 

Goods supplied shall be at buyer’s risk as from delivery. In spite of delivery having been made the legal title to the goods shall not pass from us until:

a)     the buyer shall have paid the price plus VAT in full: and

b)     no other sums whatever shall be due from the buyer to us

Until the legal title in the goods passes to the buyer in accordance with the preceding paragraph the buyer shall hold the goods on a fiduciary basis as bailee for us.

Notwithstanding that the goods (or any of them) remain our property the buyer may sell or use the goods in the ordinary course of the buyer’s business at full market value for our account. Any such sale or dealing shall be a sale or use of our property by the buyer on the buyer’s own behalf and the buyer shall deal as a principal when making such sales or dealings. Until title in the goods passes from the seller, the entire proceeds of sale or otherwise of the goods shall be held in trust for us.

We shall be entitled to recover the price (plus VAT) notwithstanding that the legal title in any of the goods has not passed from us.

Until such time as the legal title in the goods passes from us the buyer shall upon request deliver up such of the goods as have not ceased to be in existence or resold to the seller. If the buyer fails to do so the seller may enter upon any premises owned occupied or controlled by the buyer where the goods are situated and repossess the goods.

 

 

Delivery

 

We are a wholesale supplier of young plants and we expect orders to be placed in the spirit of the wholesale trade. We will continue to accept orders without specifying a minimum number of plants, but we will make delivery charges as follows, and we may ask you to accept an estimate of the delivery cost before finally confirming an order. Remember that the charges apply per delivery and not per order, so if you order from across the time span of the availability list you will need to have multiple deliveries. There is a limit to how long we are able or willing to hold plants in order to accumulate larger deliveries.

 

We always prefer to deliver with our own transport, but the minimum delivery we will now make without making a charge is 300 liners (or 900 plugs). Below this level we will charge £25 less 10% of the goods value of the invoice. E.g for a delivery of £97.00 worth of plants we will charge £15.30 [25 –(97/100].

We generally expect to be able to deliver with our own transport from February to August in the following counties. Cornwall, Devon, Somerset, Dorset, Avon, Wiltshire, Hampshire, Sussex, Surrey, Kent, Essex, Herts, Bucks, Beds, Oxon, Berks, Glos, Hereford and Worcs, Warks, West Midlands, Northants, Cambs, Suffolk, Norfolk, Lincs, Leics, Notts, and South Yorks. 

However, even within these months and in these areas it is not always possible to use our own transport.

 

If we are unable to deliver with our own transport then there are three options.

a)       we can deliver your plants c/o of someone else – generally another customer but it could be a third party. Delivery charges as above could still apply and it is entirely your responsibility to make and adhere to satisfactory arrangements with the third party (although we may be able to help with suggestions).

b)       we can send your plants boxed by post or carrier. There may be a charge for boxing  of 12p per plant. You will be charged for the full cost of the carriage less 10% of the goods value of the invoice. If you have a contract with a carrier it will probably be cheaper for you to arrange for them to collect on your behalf , as we do not use carriers enough to be able to negotiate any discounted rates.

c)        you can collect, which attracts a 5% discount.

 

Regrettably the former fourth option of sending plants on Danish trolleys with a specialist carrier is not at the moment economically available to us in this area, although this could well change.
